Sales Terms and Conditions for Rig Cables LLC

1. Introduction

These Sales Terms and Conditions ("Terms") govern all sales of products and services by Rig Cables LLC ("Seller") to its customers ("Buyer"). By placing an order with Rig Cables LLC, the Buyer agrees to be bound by these Terms. These Terms supersede any prior agreements or understandings unless expressly agreed in writing by both parties.

2. Orders and Acceptance

All orders placed with Rig Cables LLC are subject to acceptance by the Seller. The Seller reserves the right to reject any order at its discretion. Orders are confirmed upon issuance of a written order confirmation or shipment of the products. The Buyer is responsible for verifying the accuracy of the order details, including product specifications, quantities, and pricing.

3. Pricing and Payment

• Pricing: Prices for products and services are as listed in the Seller’s current price list, catalog, on the website www.rigcables.com, or as quoted to the Buyer. Prices are subject to change without notice unless otherwise agreed in writing.
• Taxes: Prices exclude applicable taxes, duties, or fees, which are the responsibility of the Buyer unless a valid tax exemption certificate is provided.
• Payment Terms: Payment is due in full at the time of order unless credit terms are approved by the Seller. For approved credit accounts, payment is due within 30 days of the invoice date. Late payments may incur interest at a rate of 1.5% per month or the maximum allowed by law.
• Currency: All payments must be made in U.S. dollars unless otherwise specified.

4. Shipping and Delivery

• Shipping Terms: All products are shipped FOB (Freight on Board) from the Seller’s facility unless otherwise specified. Risk of loss transfers to the Buyer upon delivery to the carrier.
• Delivery: The Seller will make reasonable efforts to meet requested delivery dates, but delivery dates are estimates only. The Seller is not liable for delays due to factors beyond its control, including but not limited to carrier issues, supply chain disruptions, or force majeure events.
• Freight Charges: Shipping and handling charges are the responsibility of the Buyer unless otherwise agreed in writing.

5. Returns and Refunds

• Eligibility for Returns: Products are eligible for return if returned within 30 days from the date of shipment, provided they are in their original packaging and condition, unused, and undamaged. Custom or special-order items are non-returnable unless defective.
• Return Process: The Buyer must contact Rig Cables LLC to obtain a Return Merchandise Authorization (RMA) number before returning any products. Returns without an RMA number will not be accepted.
• Restocking Fee: A restocking fee of 15% of the purchase price may apply to non-defective returns, at the Seller’s discretion.
• Refunds: Refunds for eligible returns will be processed within 14 days of receipt of the returned products, less any applicable restocking fees, the original shipping cost, and any other applicable charges. Refunds will be issued to the original payment method.
• Return Shipping Costs: The cost of shipping the return back to Rig Cables LLC must be paid by the Buyer.
• Defective Products: If a product is defective due to manufacturing issues, the Seller will, at its discretion, repair, replace, or refund the purchase price, provided the defect is reported within 30 days of shipment.

6. Warranty

• Limited Warranty: Rig Cables LLC warrants that its products are free from defects in material and workmanship under normal use for a period of one (1) year from the date of shipment, unless otherwise specified.
• Third-Party Products: Warranty terms for third-party products resold by Rig Cables LLC are subject to the warranty terms and other conditions as specified by the original equipment manufacturer. Warranty claims for such products must be initiated directly by the Buyer with the original equipment manufacturer. Rig Cables LLC is not responsible for the performance or fulfillment of third-party warranties.
• Exclusions: This warranty does not cover damage due to misuse, abuse, improper installation, or modifications not authorized by the Seller. The warranty is void if the product is altered or repaired by anyone other than the Seller or its authorized representatives.
• Remedy: The Seller’s sole obligation under this warranty is to repair, replace, or refund the purchase price of the defective product, at its discretion. This is the Buyer’s exclusive remedy.

7. Limitation of Liability

• To the maximum extent permitted by law, Rig Cables LLC shall not be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or damage to equipment, arising from the sale or use of its products or services.
• The Seller’s total liability for any claim shall not exceed the purchase price of the products or services in question.

8. Intellectual Property

All intellectual property rights, including trademarks, designs, and specifications related to the products, remain the property of Rig Cables LLC or its licensors. The Buyer may not reproduce, modify, or distribute the Seller’s products or intellectual property without prior written consent.

9. Force Majeure

Rig Cables LLC shall not be liable for any delay or failure to perform due to causes beyond its reasonable control, including but not limited to natural disasters, labor disputes, government actions, or supply chain disruptions.

10. Governing Law and Dispute Resolution

• Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of New Hampshire, without regard to its conflict of laws principles.
• Disputes: Any disputes arising under these Terms shall be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Concord, New Hampshire under the rules of the American Arbitration Association.

11. Modifications

Rig Cables LLC reserves the right to modify these Terms at any time. Updated Terms will apply to all orders placed after the date of modification. The Buyer is responsible for reviewing the current Terms at the time of order.
